Terms and conditions

When placing a purchase order with Cordia, the customer acknowledges having read and accepted our Terms and Conditions. Any change is subject to written agreement. These are the only conditions of sale that apply and supersede all others, including the buyer’s own general terms of trade. Our prices, and terms and conditions are subject to change without notice.

ORDERS

Before placing an order the buyer must open an account with our Export Department. The buyer can place an order either by: post, fax (+33 160 21 51 39) or email (contact@cordia-fire-safety.com). The buyer must include the following in their purchase order: buyer’s name; invoicing address; delivery address; telephone and fax numbers; part numbers; unit quantities; date of order; the required Incoterm; and VAT number for members of the European Union. The buyer’s order is binding only when accepted in writing by Cordia, and after settlement of any outstanding invoices. If no objection is made to the content of the ‘Acknowledgement of Order’ sent by Cordia within three working days, the order is considered accepted by the buyer.

ORDER MODIFICATIONS

If the buyer wishes to change their order, a request must be sent via email to contact@cordia-fire-safety.com within three working days and is subject to written confirmation by Cordia. The buyer is liable for any costs incurred by CORDIA for customised products (special orders).

PRODUCT INFORMATION

Illustrations, photographs or descriptions whether in catalogues, brochures, price lists or other documents issued by Cordia are intended as a guide only and the content shall not be binding on Cordia. We reserve the right to replace a product specified in an order with a similar product, even after receipt of the order.

PRICE

Our prices are quoted in Euros and are exclusive of tax. We reserve the right to revise them without notice, subject to changes in import/export duty or economic, fiscal and monetary circumstances, or as a result of technical improvements to our products. Prices are Ex Works and do not include packaging or transportation costs, which are subject to an additional charge when finalised. Any tax, duty or other service fees due in accordance with French law, or those of the importing country or the country of transit, are the responsibility of the buyer. If the buyer wants to agree to an alternative Incoterm, it will be CORDIA’s responsibility to provide the buyer with an estimate of transportation costs related to that Incoterm. Notwithstanding the provisions of this article, our prices are subject to change without notice in response to any new taxes, levies or fees created by a change in legislation affecting the compliance of our products regarding the prevention and management of electrical and electronic equipment waste (European WEEE Directive), including but not limited to, its disposal, treatment and recovery (according to decree n°2005-829 of July 20th, 2005).

INVOICING and TERMS OF PAYMENT

The buyer must include their bank details with their account application. For first-time transactions and for buyers who have not ordered for more than a year, full payment is required in advance. There is no discount for pre-payment. For account customers, payment by international bank transfer is required. Failure to pay an invoice by the specified due date will result in liability for payment of all outstanding invoices, suspension of deliveries on outstanding orders and a late payment penalty equivalent to 10% above the prevailing European Central Bank base rate. Late payment penalties will be applied without any reminder. Furthermore, according to article L.441-6 of the Commercial Code, late payment of an invoice will result in liability for a fixed compensation for collection cost of €40.

PROPERTY

In accordance with French Law 80.335 of May 12, 1980, goods remain our property until we have received full payment from the buyer and any outstanding debt has been cleared. If the goods are no longer recoverable, the buyer will ensure we receive the full invoice amount due, directly from the user.

RISK

The risk and liability for products are transferred to the buyer as soon as the products are taken from our warehouses by the carrier, even if delivery is free. In case of loss or damage in transit, the buyer must make any complaints in writing or by email to the carrier and notify us in writing within 48 hours.

DELAYS

Delivery dates are for guidance only. The buyer will be notified of the availability of stock at the time of ordering. If a product proves to be temporarily or permanently unavailable after order confirmation, Cordia will notify the buyer by email, as soon as possible. Cordia cannot be held responsible in the event of product unavailability from our suppliers.Under no circumstances can a delay in delivery warrant order cancellation or the imposition of penalties. Our company is hereby exempt from any commitment to delivery date a) in the case on non-compliance with the terms of payment by the buyer, b) in case of force majeure as defined in French Law, or events beyond our control, such as strike, fire, etc.

DELIVERY

Shipping costs are calculated according to weight, destination and shipping costs of our authorised carriers. If the buyer chooses Incoterm FCA (Free Carrier named place) for delivery in Metropolitan France, CORDIA offers free carriage for orders above 700,00 Euros. This excludes orders for vehicles or training containers.

RETURNS

Goods returned for whatever reason, will only be accepted if we have given our prior written agreement. Returns must be sent in the original packaging in perfect condition and will be subject to quality control checks by the after-sales team. Carriage must be paid by the customer. We will provide a credit note or replacement for defective goods returned under warranty. The customer is responsible for the cost of returning the goods. Shipping charges for the replacement goods will be at Cordia’s expense. Defective goods returned outside of warranty period are subject to an estimate, which must be accepted and signed by the buyer before settlement. Credit notes for the return of unwanted goods will be for a maximum of 80% of the original price. We do not accept returns of any customised equipment.

COMPLAINTS

Complaints must be submitted in writing within 48 hours of receipt of the goods and must not prevent the payment of invoices.

CANCELLATION

Cancellation of an order will be accepted only with our written agreement, which will specify the terms for reimbursing us for expenses already incurred.

WARRANTY

Our equipment includes a free, one-year parts and labour warranty from the date of delivery. The warranty does not cover batteries. Returns under warranty do not exempt the buyer from making payment by the due date. Under no circumstances will we replace equipment if a defective part can be changed or repaired; neither is any compensation due if the equipment is inoperable as a result of the defect. The warranty will be terminated for:
  • Any misuse of the product, or use outside the manufacturer’s instructions
  • Any alteration or modification by the customer or a third party
  • Products where trademarks or serial numbers have been removed or altered
Tampering with equipment in good working order will be charged for. It is the buyer’s responsibility to check the hazards involved in using products purchased from Cordia and to carry out any additional research necessary to learn about those hazards. The buyer also has a duty to inform its customers and any other relevant parties of any risks involved in using or handling the products. The buyer agrees to comply with instructions, if any, furnished by Cordia relating to the use of the products and to not misuse the products in any manner. Cordia is not responsible for any harm resulting from the use of our products, howsoever caused.

JURISDICTION and APPLICABLE LAW

Any dispute will be under the jurisdiction of the Tribunal de Commerce de Meaux, whatever the buyer’s nationality, place of residence, the delivery location or payment method. The parties agree that these Terms and Conditions are subject to French Law.
